General Terms and Conditions of Sale

Chapter 1 - General

Article 1.1 - Scope

The company AZ VIDEO, a SARL with a share capital of €1,000, registered with the Paris Trade and Companies Register under number 838 962 405, with its registered office at 1 Square Vermenouze, 75005 Paris, France, is an audiovisual production agency. These General Terms and Conditions of Sale (“GTC”) apply to all consulting, creative, communication, event and audiovisual production services provided by AZ VIDEO. Placing an order implies the customer’s full and unreserved acceptance of these GTC.

Article 1.2 - Definitions

AZ VIDEO or the Agency: refers to the company AZ VIDEO SARL.

Customer: the individual or legal entity who signs the order form or the quotation, or who has placed the order in writing.

Specifications: the list of work requested from AZ VIDEO by the customer before any service.

Services: all services provided by the Agency, including studies, advice, management, audiovisual and event production, and any other service formally accepted by the customer.

Article 1.3 - Acceptance of and access to the GTC

These GTC are available on www.azvideo.fr. The customer is therefore deemed to have read and accepted them when contacting or placing an order with the Agency. The GTC form the legal basis of all our contracts and prevail over any conflicting clause proposed by the customer.

Article 1.4 - GDPR compliance

The collection and processing of personal data are described in AZ VIDEO’s privacy policy.

Article 1.5 - Intellectual property and image rights

For any shoot involving an identifiable person, the customer must obtain and provide AZ VIDEO with that person’s prior authorisation. The customer must also provide the permits needed to film on private premises. AZ VIDEO is not responsible for how the customer uses the images produced.

Article 1.6 - Confidentiality and references

AZ VIDEO and the customer undertake to keep confidential all information exchanged under the contract. The customer authorises AZ VIDEO to cite its name and the work produced for commercial purposes, unless it formally objects by post.

Article 1.7 - Copyright and use of the works

AZ VIDEO productions are protected by copyright. Purchase by the customer does not transfer exclusive ownership. Once payment has been made in full, AZ VIDEO grants the customer the usage rights (reproduction, public performance, distribution) set out in the contract.

Article 1.8 - Archiving

Rushes are kept for two months after invoicing. The customer may ask to receive them, at its own expense. Any longer storage is the customer’s responsibility.

Article 1.9 - Subcontracting

AZ VIDEO may subcontract all or part of the services unless the customer objects in writing.

Article 1.10 - Non-solicitation of staff

The customer undertakes not to hire or employ any staff who worked on the services, during the contract and for 12 months after it ends.

Article 1.11 - Travel, accommodation and meals

These costs are set out in the quotation. Additional costs related to shooting days (travel, accommodation, catering) are borne by the customer, unless otherwise stated.

Article 1.12 - Insurance

‍AZ VIDEO holds professional liability insurance covering direct bodily, material and non-material damage. Cover is maintained for the full duration of the contract.

Article 1.13 - Changes to prices and GTC

‍AZ VIDEO may amend its terms and conditions at any time. Services are governed by the GTC in force on the date of the order.

Article 1.14 - Entire agreement

‍The contract and its specific conditions set out all of the parties’ obligations.

Article 1.15 - Governing law and jurisdiction

‍The contract is governed by French law. Any dispute will be referred to the competent courts of Paris.

Chapter 2 - Video services

Article 2.1 - Placing an order

‍Orders are confirmed once the quotation and specifications are signed with the words “Bon pour accord” (approved) or “lu et approuvé” (read and approved), and a deposit of 50% of the quoted total has been paid. Materials and documents entrusted to the Agency serve as security for payment.

Article 2.2 - Changes to an order

‍Any change must follow the same procedure as the original order. If an order is cancelled, AZ VIDEO keeps the deposit and may claim compensation.

Article 2.3 - Prices

‍Prices are in euros excluding VAT (20%) and are valid for one month from the date of the quotation. Any service not listed is subject to an additional quotation.

Article 2.4 - Payment

‍A 50% deposit is due when the order is placed. The balance is due on delivery or by the agreed date. Late payment incurs penalties at three times the legal interest rate. AZ VIDEO may suspend services in the event of non-payment.

Article 2.5 - Distribution rights and retention of title

‍The video is intended for the media listed in the quotation. Distribution on any other media requires an additional agreement. AZ VIDEO may credit its work with a copyright notice or the mention “Production: AZ VIDEO”.

Article 2.6 - Proposals not selected

‍Quotations are free of charge. Projects that are not selected must be returned in full and remain the property of AZ VIDEO.

Article 2.7 - Customer’s responsibility

‍The customer provides AZ VIDEO with all necessary information and guarantees its accuracy. The customer is responsible for the information provided and for complying with the regulations that apply to its business.

Article 2.8 - Agency’s responsibility

‍AZ VIDEO fulfils its duty to advise and follows professional standards. Its liability is limited to foreseeable, direct damage and may not exceed the total price of the service concerned. Any claim must be made within 15 days of the event giving rise to it.

Article 2.9 - Force majeure

‍AZ VIDEO cannot be held liable in cases of force majeure, including strikes, bad weather, telecommunications outages, or any unforeseeable and unavoidable event.

Chapter 3 - Drone services

Article 3.1 - Purpose of the contract

‍AZ VIDEO undertakes to provide the aerial filming, live broadcast and video editing services described in the quotation.

Article 3.2 - General obligations

‍The customer provides all necessary information within the agreed time frame. AZ VIDEO provides the technical and human resources needed to carry out the services.

Article 3.3 - Project manager

‍Each party appoints a project manager to coordinate the exchange of information and technical instructions.

Article 3.4 - Aerial filming

‍AZ VIDEO organises the work and supervises its staff and subcontractors. The remote pilot decides whether a flight can safely go ahead. If weather or safety conditions are unfavourable, the service may be postponed. Insurance and supervision costs for the customer and/or its representatives are borne by the customer. Actors or extras near the drone must sign a form acknowledging the rules and risks of the shoot.
