General conditions of sale

Chapter 1 — General
Article 1.1 - Scope
The company AZ VIDEO, SARL with the capital of €1,000, registered in the Paris Trade and Companies Register under number 838 962 405, whose head office is located 1 Square Vermenouze, 75005 Paris, France, is an audiovisual agency specialized in providing services for audiovisual production. These General Terms and Conditions of Sale (“GTC”) apply to all consulting, creation, communication management, event organization and audiovisual production services provided by AZ VIDEO. Ordering a service implies the complete and unreserved acceptance by the customer of these general conditions.
Article 1.2 - Definitions
AZ VIDEO or the Agency : refers to the SARL AZ VIDEO.
Customer : the natural or legal person signing the order form, the quotation or having formalized the order in writing.
Specifications : list of work requested from AZ VIDEO by the client before any service.
Benefits : all the services provided by the agency, including studies, advice, management, production and audiovisual and event production, as well as any other service formally accepted by the client.
Article 1.3 - Acceptance and access to the General Terms and Conditions of Sale
These terms and conditions are available on the site www.az-video.fr (to be completed if necessary). Consequently, the customer is deemed to have read and accepted these Terms and Conditions when contacting or ordering from the agency. The GTC form the legal basis of all our contracts and take precedence over any contrary clause proposed by the customer.
Article 1.4 - RGPD compliance
The collection and processing of personal data are detailed in privacy policy from AZ VIDEO.
Article 1.5 - Intellectual property and image rights
For any shooting involving an identifiable person, the customer must provide AZ VIDEO with prior authorization. The customer must also provide the necessary permits for filming on private locations. AZ VIDEO is not responsible for the use made by the customer of the images produced.
Article 1.6 - Confidentiality and references
AZ VIDEO and the customer undertake to maintain the confidentiality of all information exchanged under the contract. The customer authorizes AZ VIDEO to use his name and the productions made for commercial purposes, unless formally opposed by post.
Article 1.7 - Copyright and exploitation of works
AZ VIDEO productions are protected by copyright. Acquisition by the customer does not transfer exclusive ownership rights. After full payment, AZ VIDEO assigns to the customer the exploitation rights (reproduction, representation, distribution) in accordance with the contract.
Article 1.8 - Archiving
The rushes are kept for two months after invoicing. The customer can request their recovery, the costs being borne by him. Any extended preservation is the responsibility of the customer.
Article 1.9 - Subcontracting
AZ VIDEO may subcontract all or part of the services without any written instructions to the contrary from the customer.
Article 1.10 - Non-solicitation of staff
The customer undertakes not to hire or employ the personnel who participated in the services during the contract and up to 12 months after its end.
Article 1.11 - Transport costs, accommodation and meals
The costs are defined and notified in the quotation. Additional costs related to filming days (transport, accommodation, catering) are borne by the customer, unless otherwise specified.
Article 1.12 - Insurance
AZ VIDEO is covered by professional liability insurance for direct personal, material and intangible damage. The guarantees are maintained for the duration of the execution of the contract.
Article 1.13 - Tariff modification and CGV
AZ VIDEO reserves the right to modify its terms and conditions at any time. The services are governed by the CGV in force on the date of the order.
Article 1.14 - Entire contract
The contract and its specific conditions express all the obligations of the parties.
Article 1.15 — Applicable law and attribution of jurisdiction
The contract is governed by French law. Any dispute will be submitted to the competent courts of paris.
Chapter 2 — Video services
Article 2.1 - Order taking
Orders are confirmed after signing the quotation and the specifications, preceded by the words “Good for Agreement” or “read and approved”, and after payment of a deposit of 50% of the total amount of the estimate. The raw materials and documents entrusted constitute a pledge assigned to the payment.
Article 2.2 - Modification of the order
Any changes must follow the same procedure as the original order. The cancellation of an order results in the retention of the deposit by AZ VIDEO and the right to claim compensation.
Article 2.3 - Prices
Prices are expressed in euros excluding taxes (20% VAT) and are valid for one month from the date of issue of the quotation. Any service not mentioned is subject to an additional estimate.
Article 2.4 - Payment of benefits
A 50% deposit is required when ordering. The balance is due upon delivery of the service or according to the agreed deadline. Late payments result in penalties calculated at three times the legal interest rate. AZ VIDEO reserves the right to suspend services in case of non-payment.
Article 2.5 - Right of distribution & reservation of ownership
The video product is intended for the media specified on the quotation. Any distribution on other media requires an additional contract. AZ VIDEO can mention its contribution via a copyright or a mention “Realization: AZ VIDEO”.
Article 2.6 - Proposals not selected
Quotations are free. Unselected projects must be returned in their entirety and remain the property of AZ VIDEO.
Article 2.7 - Customer responsibility
The customer provides all the necessary information to AZ VIDEO and guarantees its accuracy. He is responsible for the information transmitted and for complying with the regulations applicable to his activity.
Article 2.8 - Agency responsibility
AZ VIDEO respects its obligation to advise and the rules of the art. Its liability is limited to foreseeable and direct damage and cannot exceed the total cost of the service concerned. Any action must be taken within 15 days of the damaging event.
Article 2.9 - Force majeure
AZ VIDEO cannot be held responsible in the event of force majeure, including strikes, bad weather, telecommunications blockages, or unpredictable and irresistible events.
Chapter 3 — Drone services
Article 3.1 - Purpose of the contract
AZ VIDEO undertakes to provide the customer with the aerial shooting, live broadcast and video editing services described in the quotation.
Article 3.2 - General obligations
The customer provides all the necessary information within the agreed time frame. AZ VIDEO provides the technical and human skills for the execution of services.
Article 3.3 - Project manager
Both parties designate a project manager to coordinate the exchange of information and technical instructions.
Article 3.4 - Execution of aerial shots
AZ VIDEO staff organize tasks and supervise employees and subcontractors. The remote pilot judges the feasibility of the service. In the event of unfavorable weather or security conditions, the service may be postponed. The costs of insurance and supervision for the client and/or his representatives are borne by the client. Actors or extras near the drone must sign a form recognizing the rules and dangers of filming.
